DIZOLVĂRII PERSOANEI JURIDICE

Abstract: Pedeapsa complementară a
dizolvării este cea mai aspră pedeapsă care se poate
aplica persoanei juridice, subiect activ al unei
infracțiuni, pe lângă pedeapsa principală a amenzii,
în cazurile prevăzute de lege.

1. Introducere
Răspunderea penală a persoanei juridice
a devenit în perioada secolului al XX-lea şi
începutul secolului al XXI-lea una dintre cele
mai dezbătute probleme în materia dreptului,
devenind cu adevărat semnificativă după anul
1990, când infracţiunile comise prin intermediul
persoanelor juridice au devenit din ce în ce mai
alarmante atât pentru spaţiul european, cât şi
pentru alte continente.
Pedepsele ce afectează existenţa sau
activitatea persoanei juridice sunt reglementate,
în unele legislaţii penale, ca pedepse principale
putând fi pronunţate de instanţă fie singure, fie
alături de o pedeapsă pecuniară, spre deosebire
de legislaţia ţării noastre, unde legiuitorul român
a preferat stabilirea acestora exclusiv ca pedepse
complementare1.
Pedepsele complementare reprezintă
acele pedepse ce au rolul de a completa
represiunea putând fi aplicate pe lângă pedeapsa
principală2, acest tip de pedepse putând fi
întâlnite şi sub denumirea de pedepse secundare
sau alăturate. Codul penal actual3 a păstrat în
reglementarea răspunderii penale a persoanei
juridice principiile pe care se fundamentează
această răspundere în concepţia Codului penal
anterior4, menţinându-se astfel opţiunea pentru

1. Introduction
Criminal liability of the legal person
has become one of the most debated issues in
the field of law between the 20th and the
beginning of the 21st century, becoming truly
significant after 1990, when the crimes
committed through legal persons became
increasingly alarming both for the European
space and for other continents.
Penalties that affect the existence or
activity of the legal person are regulated in
some criminal laws that the principal
punishments may be pronounced by the court
either alone or together with a pecuniary
penalty, unlike the legislation of our country,
where the Romanian legislature preferred to
establish them exclusively complementary
punishments21.
Complementary punishments are those
punishments to complete repression that may
be applied to the main punishment22, and this
type of punishment can also be seen as
secondary or adjudicated punishments. The
current Criminal Code23 has kept the principles
on which this liability is based in the concept
of the previous Criminal Code24 in the
regulation of the criminal liability of the legal

Pedepsele ce pot fi aplicate persoanei
juridice se clasifică astfel: a) Pedepse principale. În cazul persoanei
juridice, Codul penal român reglementează ca
pedeapsă principală numai amenda.
b) Pedepse complementare. Pe lângă pedeapsa amenzii se pot aplica persoanei juridice
una sau mai multe pedepse complementare, cu
excepţia pedepsei dizolvării, care nu poate fi aplicată
alături de o altă măsură complementară. Aşadar, pedepsele complementare nu pot fi aplicate decât pe
lângă pedeapsa amenzii, neputând fi aplicate singure.
Pedepsele complementare sunt
reglementate de legiuitorul român în art. 136
alin. (3) Cod penal, şi anume: dizolvarea
persoanei juridice, suspendarea activităţii sau a
uneia dintre activităţile persoanei juridice pe o
durată de la 3 luni la 3 ani, închiderea unor
puncte de lucru ale persoanei juridice pe o
durată de la 3 luni la 3 ani, interzicerea de a
participa la procedurile de achiziţii publice pe o
durată de la 1 la 3 ani, plasarea sub
supraveghere judiciară, afişarea sau publicarea
hotărârii de condamnare.
În studiul de faţă am prezentat
îndeaproape pedeapsa complementară a
dizolvării persoanei juridice.
2. Noţiunea şi conţinutul pedepsei
Dizolvarea persoanei juridice poate fi
definită ca fiind modalitatea juridico-penală prin
care aceasta, în condiţiile stabilite de lege, îşi
încetează fiinţa juridică din cauza săvârşirii unei
infracţiuni5. Dizolvarea persoanei juridice este
considerată “pedeapsa cu moartea” a acesteia,
deoarece odată cu aplicarea acestei măsuri ea
încetează din punct de vedere juridic. Fiind o
pedeapsă severă, aplicarea dizolvării asupra
anumitor categorii de persoane juridice (spre
exemplu statul, autorităţile publice si instituţiile
publice) nu este acceptată. Aşadar, având în
vedere efectele aplicării pedepsei dizolvării,
aceasta poate fi comparată cu pedeapsa capitală
aplicabilă persoanei fizice.
În actuala redactare a textului legal,
destinat regimului juridic al dizolvării, există o
singură diferenţă notabilă faţă de reglementarea
anterioară şi se referă la cea de-a doua ipoteză în
person, thus maintaining the option for the

The penalties applicable to the legal
person are classified as follows:
a) Major punishments. In the case of
the legal person, the Romanian Penal Code
regulates only the fine as the main punishment.
b) Complementary punishments. Apart
from the penalty of the fine, one or more
additional punishments can be imposed on the
legal person, except for the sentence of
dissolution, which can not be applied alongside
another complementary measure. Therefore,
complementary punishments can only be
applied in addition to the fine, and can not be
applied on their own.
The complementary punishments are
regulated by the Romanian legislator in art.
136 par. (3) Penal Code, namely: dissolution of
the legal person, suspension of the activity or
one of the activities of the legal person for a
period of 3 months to 3 years, the closure of
some legal persons' working places for a
period of 3 months to 3 years, the prohibition
to participate in public procurement procedures
for a period of 1 to 3 years, placing under
judicial supervision, displaying or publishing
the conviction decision.
In the present study we have closely
presented the complementary punishment of
the dissolution of the legal person.
2. The notion and content of
punishment
The dissolution of the legal person can
be defined as the legal-criminal way in which,
under the conditions laid down by law, it
ceases to be a legal entity because of the
commission of a crime25. The dissolution of
the legal person is considered a „death penalti”
because, with the application of this measure, it
is legally discontinued. As a severe
punishment, the application of dissolution to
certain categories of legal entities (for example
the state, public authorities and public
institutions) is not accepted. So, given the
effects of the punishment of dissolution, it can
be compared with the capital punishment
applicable to the individual.

care se poate aplica dizolvarea persoanei
juridice (obiectul său de activitate a fost deturnat
în scopul comiterii de infracţiuni), Codul penal
actual adăugând o condiţie suplimentară,
respectiv ca pedeapsa prevăzută de lege pentru
infracţiunea săvârşită să fie închisoarea mai
mare de 3 ani6.
Datorită consecinţelor severe ale
aplicării pedepsei dizolvării persoanei juridice,
considerăm că aceasta este măsura care trebuie
aplicată numai pentru cazurile cele mai grave,
avându-se în vedere şi efectele adverse care pot
apărea odată cu aplicarea pedepsei dizolvării,
cum ar fi pierderea unor locuri de muncă,
afectarea drepturilor creditorilor, pierderea unui
contribuabil către stat.
Pedeapsa complementară a dizolvării
persoanei juridice se aplică în următoarele
cazuri:
a) Persoana juridică a fost constituită
în scopul săvârşirii de infracţiuni.
Pedeapsa dizolvării persoanei juridice
poate fi aplicată, în primul rând, atunci când
aceasta a fost înfiinţată cu scopul desfăşurării
unor activităţi ilegale de natură penală, ce nu pot
forma obiectul de activitate al unei persoane
juridice, cum ar fi constituirea unei societăţi
pentru activităţi de contrabandă, trafic de
persoane sau de droguri.
În doctrină, s-au purtat discuţii dacă,
pentru aplicarea pedepsei dizolvării, este
necesar ca toţi membrii fondatori să fi fost de
rea-credinţă la constituirea persoanei juridice7.
Faptul că unii dintre cei care au înfiinţat
persoana juridică nu cunoşteau scopul ilicit avut
în vedere de ceilalţi cofondatori, nu împiedică
posibilitatea dispunerii dizolvării persoanei
juridice, dacă scopul real al constituirii a fost, în
principal derularea unei activităţi infracţionale8.
Aşadar, în vederea aplicării pedepsei
complementare a dizolvării, trebuie să se ţină
cont de motivul principal pentru care a fost
constituită persoana juridică, aceasta putând
desfăşura, în subsidiar, şi alte activităţi licite, dar
mai puţin importante şi care nu schimbă în
principiu soluţia. Deci, trebuie avută în vedere
activitatea efectivă, concretă ce urmează a fi
desfăşurată şi pentru care a fost constituită
In the current wording of the legal text,
intended for the legal regime of dissolution,
there is only one notable difference from the
previous regulation and refers to the second
hypothesis where the dissolution of the legal
person may be applied (his object of activity
was hijacked for the purposes of criminal
offenses), the current Penal Code adding an
additional condition, namely that the
punishment stipulated by the law for the
offense committed is to be imprisonment for
more than 3 years26.
Due to the severe consequences of the
punishment of the dissolution of the legal
person, we consider that this is the measure to
be applied only for the most serious cases, also
considering the adverse effects that may arise
with the punishment of dissolution, such as the
loss of jobs , damage to creditors' rights, loss of
a taxpayer to the state.
The additional sentence of the
dissolution of the legal person applies in the
following cases:
a) The legal person was constituted for
the purpose of committing crimes.
The punishment of the dissolution of
the legal person may be applied, first of all,
when it was set up for the purpose of carrying
out criminal activities of a criminal nature
which can not form the object of activity of a
legal person such as the establishment of a
smuggling company , trafficking in human
beings or drugs.
In the doctrine, there has been
discussion whether, in order to enforce the
punishment of dissolution, it is necessary that
all the founding members have been bad faith
in the constitution of the legal person27. The
fact that some of those who set up the legal
person did not know the illicit purpose
envisaged by the other co-founders does not
prevent the possibility of dissolution of the
legal person, if the actual purpose of the
constitution was mainly to carry out criminal
activity28.
Therefore, for the purpose of applying
the complementary punishment of dissolution,
account must be taken of the principal reason

persoana juridică, iar nu cea care rezultă din
actele constitutive ale acesteia, care este în
majoritatea cazurilor licită9.
În ceea ce priveşte formele de vinovăţie,
cu care pot fi săvârşite infracţiunile10, acestea
sunt intenţia11 şi intenţia depăşită, nu şi cele din
culpă.
Un criteriu relevant pentru stabilirea
importanţei activităţii ilicite îl reprezintă
criteriul cifrei de afaceri, potrivit căruia dacă
activitatea ilicită de natură penală a unei
persoane juridice a avut la început o cifră de
afaceri mai mare decât activitatea legală, de
regulă se poate spune că aceasta a fost
constituită în scopul săvârşirii de infracţiuni12.
b) Obiectul de activitate al persoanei
juridice a fost deturnat în scopul comiterii de
infracţiuni, iar pedeapsa prevăzută de lege
pentru infracţiunea săvârşită este închisoarea
mai mare de 3 ani.
Această ipoteză este întâlnită atunci
când persoana juridică este legal constituită în
vederea desfăşurării unor activităţi licite, pe
care, eventual, le-a şi urmărit o perioadă, însă,
obiectul de activitate este deturnat în vederea
săvârşirii de infracţiuni. Aşadar, nu este necesar
ca întreaga activitate să devină ilicită, fiind
suficient ca activitatea principală a acesteia să
devină ilegală.
O altă condiţie a acestei ipoteze este
aceea de a săvârşi cel puţin o infracţiune după
deturnarea obiectului de activitate, pentru care
legea să prevadă pedeapsa închisorii mai mare
de 3 ani, sens în care dacă pedeaspsa prevăzută
de lege pentru infracţiunea săvârşită este de 3
ani sau mai mică nu se va putea dispune
pedeapsa dizolvării. Şi în ipoteza deturnării
scopului acesteia, ca şi în cazul ipotezei
înfiinţării persoanei în scopul săvârşirii de
infracţiuni, legea are în vedere activitatea
principală şi nu activităţile secundare. În ceea ce
priveşte elementul subiectiv acesta va îmbraca
forma intenţiei13.
c) În ipoteza neexecutării, cu rea-
credinţă a uneia sau mai multora dintre
pedepsele complementare (suspendarea în tot
sau în parte a activităţii, închiderea unor puncte
de lucru, interzicerea de a participa la

As regards the forms of guilt, which
can be used to commit crimes30, these are
intentions31 and intentions that are outdated,

A relevant criterion for determining the
importance of illicit activity is the turnover
criterion, according to which if the illicit
criminal activity of a legal person initially had
a higher turnover than the legal activity, it can
usually be said that it was established for the
purpose of committing crimes32.
b) The activity of the legal person has
been hijacked in order to commit crimes and
the punishment provided for the offense is
imprisonment exceeding three years.
This hypothesis is encountered when
the legal entity is legally established in order to
pursue lawful activities, which possibly has
and watched for a while, but the activity is
diverted to commit crimes. Therefore, it is not
necessary for the entire activity to become
illicit, it is sufficient that its main activity
becomes illegal.
Another condition of this hypothesis is
to commit at least one offense after the
misappropriation of the object of activity, for
which the law provides for imprisonment for
more than 3 years, meaning that if the
punishment prescribed by the law for the
offense committed is 3 years, or the sentence
of dissolution will not be available. And
assuming the diversion of its purpose, as in the
creation hypothesis person to commit crimes,
the law envisages the main activity and no
secondary activities. As for the subjective
element, it will embody the form of intent33.
c) In the case of non-execution in bad
faith of one or more of the complementary
punishments (total or partial suspension of the
activity, closure of work points, prohibition to

procedurile de achiziţii publice, plasarea sub
supraveghere judiciară) la care a fost obligată
printr-o hotărâre penală definitivă.
În cazul în care persoana juridică nu
execută cu rea-credinţă pedeapsa
complementară a afişării sau publicării hotărârii
de condamnare, prima dată, se dispune
suspendarea activităţii pe o perioadă de cel mult
3 luni, iar în cazul în care nici în acest termen nu
a fost executată cu rea-credinţă, se dispune
dizolvarea. În situaţia în care neexecutarea nu
este imputabilă persoanei juridice, nu poate fi
dispusă aplicarea pedepsei dizolvării.
Chiar şi cu consecinţele severe pe care
le are aplicarea pedepsei complementare a
dizolvării asupra persoanei juridice14 sau
efectele adverse pe care le poate avea aplicarea
acesteia, considerăm că este justificată de
nevoia de a înlătura o stare de pericol
generatoare de noi infracţiuni15.
3. Neaplicarea pedepsei
complementare a dizolvării
persoanei juridice
Codul penal actual a adus în materia
neaplicării pedepsei complementare a dizolvării
persoanei juridice faţă de Codul penal anterior
două modificări: în primul rând sunt adăugate în
această categorie instituţiile publice, datorită
extinderii incidenţei răspunderii penale în cazul
acestor instituţii prin limitarea imunităţii, iar în
al doilea rând se precizează clar organizaţiile
minorităţilor care nu pot face obiectul
sancţiunii, şi anume doar minorităţile naţionale.
Dizolvarea persoanei juridice nu poate fi
aplicată instituţiilor publice, partidelor politice,
sindicatelor, patronatelor şi organizaţiilor
religioase ori aparţinând minorităţilor naţionale
constituite potrivit legii, nici persoanelor
juridice care îşi desfăşoară activitatea în
domeniul presei16.
În susţinerea dispoziţiilor referitoare la
neaplicarea pedepsei dizolvării în cazul unor
categorii de persoane juridice, s-a afirmat că
înfiinţarea unor astfel de persoane juridice
exceptate de la aplicarea unor pedepse care le-ar
afecta în mod esenţial existenţa sau activitatea,
valorifică anumite principii generale de drept
prevăzute în Constituţia României sau libertăţi
participate in public procurement procedures,

Even with the severe consequences of
applying the complementary punishment of
dissolution to the legal person34 or the adverse
effects that its application may have, we
believe that it is justified by the need to remove
a state of danger generating new crimes35.
3. Non-application of the additional
punishment of the dissolution of the legal
person
The current Penal Code has brought in
the matter of the non-application of the
complementary punishment of the dissolution
of the legal person to the Criminal Code two
amendments: firstly, the public institutions are
added to this category because of the extension
of the incidence of criminal liability for these
institutions by limiting immunity, This clearly
indicates the organizations of minorities who
can not be subject to the sanction, namely only
national minorities.
The dissolution of the legal person can
not be applied to public institutions, political
parties, trade unions, employers' organizations
and religious organizations or belonging to
national minorities constituted according to the
law, nor to legal persons working in the field
of the press36.
In support of the provisions concerning
the non-application of the sentence of
dissolution in the case of certain categories of
legal persons, it was stated that the
establishment of such legal entities exempted
from the application of punishments that
would essentially affect their existence or
activity is based on certain general principles

fundamentale. Putem enumera ca exemple:
libertatea de exprimare, de conştiinţă,
pluralismul şi partidele politice, sindicatele
patronatele, asociaţiile profesionale.
Desfiinţarea acestor categorii de persoane
juridice ar aduce atingere protecţiei
constituţionale pe care legea le-o recunoaşte.
Pe de altă parte, s-a considerat că
legiuitorul a exceptat aceste categorii de
persoane, datorită faptului că ele servesc
interesului public care trebuie protejat, iar în
cazul aplicării pedepsei dizolvării s-ar cauza
interesului public un rău mai mare decât un
beneficiu.
Organizaţiile din domeniul presei sunt
exceptate de la aplicarea pedepsei
complementare a dizolvării, bucurându-se de o
protecţie constituţională puternică, care îşi are
temeiul în evitarea oricărei posibilităţi de abuz
în aplicarea legii care ar putea avea un efect de
intimidare asupra libertăţii de expresie, chiar
dacă sunt foarte multe ipoteze, pe care ni le-am
putea imagina, în care un organ de presă scrisă
să fie folosit ca instrument în comiterea de
infracţiuni.
Prevederile privind exceptarea unor
categorii de persoane juridice de la aplicarea
pedepsei complementare a dizolvării ar putea fi
revizuite în viitor, în funcţie de evoluţia
infracţionalităţii, în cazul în care acest lucru
devine necesar în vederea măsurilor apărării
sociale.
4. Aplicarea pedepsei
complementare a dizolvării
Comparând dispoziţiile Codului penal
actual cu cele ale Codului penal anterior,
observăm faptul că legiuitorul nu a adus
modificări în materia regulilor de aplicare a
pedepselor complementare, sens în care nu vor
exista probleme în ceea ce priveşte aplicarea
legii penale în timp17.
Pedepsele aplicate persoanei juridice
respectă principiul legalităţii pedepsei şi pe cel
al proporţionalităţii acesteia cu natura şi
gravitatea faptei. Sistemul pedepselor
complementare instituit de Codul penal actual a
fost criticat ca realizând o mixtură între pedepse
şi măsuri de siguranţă, unele dintre pedepsele

fundamental freedoms. We can enumerate as
examples: freedom of speech, consciousness,
pluralism and political parties, employers'
unions, professional associations. The abolition
of these categories of legal persons would
undermine the constitutional protection that the
law recognizes.
On the other hand, it was considered
that the legislator exempted these categories of
persons because they serve the public interest
to be protected, and in the case of the
punishment of dissolution, the public interest
would be greater than a benefit.
Press organizations are exempt from
the complementary punishment of dissolution,
enjoying strong constitutional protection,
which is grounded in avoiding any possibility
of law enforcement abuse that may have an
intimidating effect on freedom of expression,
even if there are many hypotheses that we
could imagine, in which a written press body
could be used as an instrument in committing
crimes.
Provisions for exempting certain
categories of legal persons from the application
of a complementary punishment for
dissolution could be revised in the future,
depending on the evolution of the offense, if
this becomes necessary for social protection
measures.
4. Apply the complementary
punishment of dissolution
Comparing the provisions of the
current Penal Code with those of the previous
Criminal Code, we note that the legislator did
not make any amendments to the rules on the
application of complementary punishments,
meaning that there will be no problems with
the application of the criminal law over time37.
The penalties imposed on the legal
person respect the principle of the lawfulness
of the punishment and its proportionality with
the nature and gravity of the offense. The
system of complementary punishments
established by the current Penal Code has been
criticized as making a mix of sentences and
security measures, some of the complementary

complementare prevăzute pentru persoana
juridică fiind mai aproape de măsurile de
siguranţă decât de pedepse18. De aceea, în
vederea asigurării unui echilibru sancţionator,
considerăm că ar fi fost de preferat ca acestea
din urmă să fi fost reglementate ca măsuri de
siguranţă specifice persoanei juridice.
Cu privire la aplicarea pedepselor
complementare în cazul persoanei juridice,
legiuitorul român a apreciat că se impune
stabilirea unor reguli:
- prima regulă se referă la faptul că persoanei
juridice i se pot aplica una sau mai multe
pedepse complementare, adică pot fi cumulate.
O excepţie de la această primă regulă este
reprezentată de pedeaspa complementară a
dizolvării care nu poate fi cumulată cu alte
pedepse complementare, ci se aplică singură.
Această prevedere este întemeiată întrucât odată
aplicată pedeapsa dizolvării, persoana juridică
îşi încetează existenţa şi implicit întreaga
activitate, deci aplicarea şi a altor pedepse
complementare ar fi ineficientă, fiind lipsite de
obiect.
- cea de-a doua regulă este aceea că aplicarea
uneia sau mai multor pedepse complementare
este facultativă. Aplicarea uneia sau mai multor
pedepse complementare se dispune atunci când
instanţa constată că, faţă de natura şi gravitatea
faptei, precum şi de împrejurările cauzei, aceste
pedepse sunt necesare. Pe de altă parte,
aplicarea mai multor pedepse complementare
are un caracter obligatoriu, când legea prevede
această pedeapsă, în lipsa acestor prevederi
având caracter facultativ.
Aşa cum am arătat mai sus, pedeapsa
complementară a dizolvării se aplică persoanei
juridice condamnate în situţiile în care persoana
juridică a fost constituită în scopul săvârşirii de
infracţiuni sau obiectul de activitate al persoanei
jurdice a fost deturnat în scopul comiterii de
infracţiuni, iar pedeapsa pedeapsa prevăzută de
lege pentru infracţiunea săvârşită este
închisoarea mai mare de 3 ani, precum şi în
cazul în care persoana juridică nu a executat cu
rea-credinţă una sau mai multe pedepse
complementare la care este obligată printr-o
hotărâre penală definitivă. De asemenea,

have been preferable for the latter to have been
regulated as specific safeguards for the legal
person.
Regarding the application of
complementary sanctions to the legal person,
the Romanian legislature considered that it is
necessary to establish rules:
- the first rule refers to the fact that the legal
entity may be subject to one or more
complementary punishments, that is, it may be
cumulative. An exception to this first rule is
the complementary step of dissolution that can
not be cumulated with other complementary
punishments, but applies itself. This provision
is based on the fact that once the punishment
for dissolution has been applied, the legal
entity ceases to exist and implicitly the whole
activity, so the application of other
complementary punishments would be
ineffective, being irrelevant.
- the second rule is that the application of one
or more complementary punishments is
optional. The application of one or more
complementary punishments shall be ordered
when the court finds that, with regard to the
nature and gravity of the offense, and the
circumstances of the case, such penalties are
necessary. On the other hand, the application
of several complementary punishments is
mandatory, when the law provides for this
punishment, in the absence of these provisions
being optional.
As we have seen above, the additional
sentence of dissolution applies to the legal
person convicted in situations where the legal
person was constituted for the purpose of
committing offenses or the object of activity of
the legal person was hijacked for the purpose
of committing offenses, and the penalty of the
punishment the law for the offense committed
is the imprisonment for more than 3 years, as
well as if the legal person has not performed in
bad faith one or more additional punishments
to which it is bound by a final criminal

numai în cazul constatării elementului
intenţional19 în săvârşirea infracţiunii.
5. Dizolvarea persoanei juridice în
dreptul comparat
Unele legislaţii prevăd, pentru a evita
consecinţele sociale ale aplicării pedepsei
dizolvării, numirea de către instanţă a unui
administrator public, altele precum legislaţia
americană au extins sistemul probaţiunii şi la
persoanele juridice sau au prevăzut munca în
folosul comunităţii aplicabilă persoanei juridice
cum este cazul Australiei. În practică aceste
măsuri se lovesc de dificultăţi cum ar fi, găsirea
unor persoane dispuse să administreze ori să
supravegheze asemenea societăţi care trec şi
prin dificultăţi economice.
În doctrină, s-a arătat că trăsăturile
infracţionale ale persoanelor juridice împotriva
cărora s-ar putea aplica pedeapsa dizolvării pot
rezulta din trecutul cu antecedente de
management periculos, sau un management
care demonstrează un grad ridicat de
iresponsabilitate20. Chiar şi în aceste cazuri,
doctrina din sistemul common law nu
recomandă aplicarea acestei sancţiuni, iar
legislaţiile continentale care o admit, prevăd o
serie de condiţii în care această pedeapsă
complementară poate fi aplicată.
Codul penal francez prevede că
dizolvarea persoanei juridice se aplică în situaţia
în care persoana juridică a fost creată cu scopul
săvârşirii unor infracţiuni sau în cazul în care
obiectul de activitate este deturnat în vederea
săvârşirii de infracţiuni, iar pedeapsa prevăzută
de lege pentru infracţiunea săvârşită de persoana
juridică, este pedeapsa cu închisoarea pe o
perioadă de 3 ani sau mai mult.
Codul penal belgian prevede situaţia
dizolvării persoanei juridice asemănător cu cea
din legislaţia franceză şi cea română, în sensul
că aceasta se poate dispune numai atunci când
persoana juridică se află în ilegalitate încă de la
înfiinţare sau când ea ajunge să nu mai
desfăşoare practic decât activităţi contrare
obiectului pentru care s-a constituit, adică în
situaţia în care obiectul său a fost total deturnat.

5. Dissolution of the legal person in
the comparative law
Some legislation provides, in order to
avoid the social consequences of applying the
sentence of dissolution, the appointment by a
court of a public administrator, others such as
US legislation extending the probation system
to legal persons or providing community-based
work for the legal person, as is the case with
Australia. In practice, these measures are
hitting difficulties such as finding people
willing to manage or oversee such societies
that are going through economic difficulties as
well.
In the doctrine, it has been shown that
the criminal features of legal persons against
whom the dissolution penalty may be applied
may result from the past with a history of
dangerous management or a management that
demonstrates a high degree of
irresponsibility40. Even in these cases, the
doctrine of the common law system does not
recommend the application of this sanction,
and the continental laws that allow it, provide
for a number of conditions under which this
additional punishment can be applied.
The French Penal Code provides that
the dissolution of the legal person shall apply
in the case where the legal person was created
for the purpose of committing offenses or
where the object of activity is misused for
committing offenses and the punishment
provided for by the law for the offense
committed by the person legal punishment is
imprisonment for a period of 3 years or more.
The Belgian Criminal Code provides
for the dissolution of a legal person similar to
that of the French and Romanian laws, in the
sense that it can only be ordered when the legal
person is unlawful from the outset or when it
ends up practicing only activities contrary to it
the object for which it was constituted, that is,
where its object has been totally misused.

prevede că pedeapsa dizolvării se aplică în cazul
în care instanţa de judecată constată că
gravitatea infracţiunii săvârşite de către
persoana juridică face imposibilă păstrarea
acesteia şi prelungirea activităţii ei.
Codul penal spaniol prevede în art. 33
paragraful 7 lit. b), că dizolvarea persoanei
juridice produce pierderea definitivă a
personalităţii acesteia, ca şi cea a capacităţii de a
acţiona prin orice acte juridice, sau de a exercita
orice activitate, chiar licită.
În activitatea persoanei juridice o
pondere importantă a scopului infracţional este
dată de constituirea sau deturnarea obiectului de
activitate în scopul săvârşirii de infracţiuni. Cu
toate acestea pot exista situaţii în care
implicaţiile foarte grave din punct de vedere al
consecinţelor activităţii legale pot conduce la
aplicarea pedepsei complementare a dizolvării
chiar dacă nu reprezintă activitatea majoritară a
respectivei persoane juridice.În acest sens,
legislaţia franceză prevede că deturnarea
presupune ca obiectul licit al persoanei juridice
nu este respectat, fiind incidentă o schimbare a
obiectului real. Un exemplu este situaţia în care
o societate este creată legal pentru prestarea
unor activităţi hoteliere, iar ulterior, disimulează
desfăşurând activităţi infracţionale ca traficul de
droguri sau proxenetismul.
Cu privire la problema deturnării
obiectului de activitate, dreptul belgian
consideră că este posibilă dizolvarea persoanei
juridice, în situaţia în care ea ajunge să nu mai
desfăşoare decât activităţi contrare obiectului
pentru care s-a constituit, adică atunci când
obiectul său a fost total deturnat.
Având în vedere caracterul deosebit de
grav al dizolvării, doctrina penală străină a avut
o serie de controverse pe tema oportunităţilor şi
a efectelor aplicării unei astfel de sancţiuni
împotriva unor anumite tipuri de persoane
juridice, iar statele care au adoptat o astfel de
pedeapsă precum dizolvarea, au prevăzut şi
anumite categorii exceptate. Un astfel de
exemplu întâlnim în legislaţia franceză şi
belgiană, care prevăd că sunt exceptate de la
aplicarea pedepsei dizolvării persoanele de
drept public, în măsura în care răspunderea
The Criminal Code of the Republic of
Moldova provides that the sentence of
dissolution shall apply if the court finds that
the gravity of the offense committed by the
legal person makes it impossible to keep it and
prolong its activity.
The Spanish Penal Code provides in
Art. 33 paragraph 7 lit. b) that the dissolution
of the legal person leads to the permanent loss
of its personality, as well as the capacity to act
by any legal acts, or to exercise any activity,
even licit.
In the activity of the legal person an
important share of the criminal purpose is
given by the creation or diversion of the object
of activity for the purpose of committing
crimes. However, there may be situations
where the very serious implications in terms of
the consequences of legal activity can lead to
the application of a complementary
punishment of dissolution even if it is not the
majority activity of that legal person. In this
respect, the French law provides that the
embezzlement assumes that the object legal
entity is not respected, and there is a change in
the real object. One example is when a
company is legally created to provide hotel
activities, and then conceals infringing
activities such as drug trafficking or pimping.
Regarding the question of the diversion
of the object of activity, the Belgian law
considers that it is possible to dissolve the legal
entity if it reaches only activities contrary to
the object for which it was constituted, that is,
when its object was totally hijacked.
Given the particularly serious nature of
dissolution, the foreign criminal doctrine has
had a number of controversy over the
opportunities and effects of applying such a
sanction against certain types of legal entities,
and states that have adopted such a punishment
such as dissolution, have also provided for
certain exempted categories. Such an example
is found in the French and Belgian laws which
provide for exceptions to the application of the
punishment of dissolution to public law

penală a acestora poate fi angajată, justificarea
întemeindu-se pe principiul separaţiei puterilor
în stat şi pe necesitatea continuării serviciului
public. De asemenea Codul penal francez,
exceptează şi partidele politice, sindicatele şi
instituţiile reprezentative de personal.
În Codul penal spaniol se prevede că
pedeaspa complementară a dizolvării nu se
aplică partidelor politice, sindicatelor,
organizaţiilor internaţionale de drept public, nici
celor care exercită politici publice sau
furnizează servicii de interes economic general.
Gravitatea deosebită a pedepsei
dizolvării o face extrem de rar aplicabilă în
sistemele de drept care o reglementează. Cel
mai bun exemplu în acest sens este întâlnit în
Franţa, unde într-un studiu realizat de către
Ministerul Justiţiei, pe o perioadă de nouă ani,
mai precis în perioada 1994-2002, s-a arătat că
instanţele au pronunţat pedeapsa dizolvării doar
în trei cazuri, ceea ce reprezintă 0,2% din
numărul total al pedepselor pronunţate
împotriva persoanei juridice.
6. Concluzii
Răspunderea penală a persoanei juridice
a devenit în ultimul secol una dintre cele mai
dezbătute probleme în materia dreptului,
deoarece infracţiunile comise prin intermediul
persoanelor juridice au devenit din ce în ce mai
numeroase, iar prejudiciile din ce în ce mai
mari. Persoanei juridice - subiect activ al unei
infracţiuni - i se aplică numai pedepse principale
şi complementare, pedepsele accesorii
aplicându-se doar persoanei fizice. Pedeapsa complementară a dizolvării
este cea mai aspră pedeapsă care se poate
aplica unei persoane juridice deoarece creează
o veritabilă moarte civilă a acesteia, astfel că
majoritatea legislaţiilor care au reglementat
mai de mult acestă măsură o consideră o
pedeapsă principală, numai legislaţiile noi în
materie considerând această moarte civilă o
pedeapsă complementară.
Datorită implicaţiilor sociale această
măsură se ia destul de rar pentru că se
consideră că angajaţii care şi-au exercitat
atribuţiile nu au nicio vină că s-au comis
infracţiuni sau acţionarii care nu au avut
persons, to the extent that their criminal
liability can be engaged, justification based on
the principle of the separation of powers in the
State and on the need to continue the public
service. The French Criminal Code also
exempts political parties, trade unions and
representative institutions.
The Spanish Penal Code provides that
the complementary pardon of dissolution does
not apply to political parties, trade unions,
international public law organizations, or to
those who exercise public policies or provide
services of general economic interest.
The particular gravity of the dissolution
penalty makes it extremely rarely applicable in
the legal systems that govern it. The best
example in this respect is met in France where,
in a study conducted by the Ministry of Justice
over a period of nine years, more precisely
between 1994 and 2002, it was shown that the
courts pronounced the dissolution penalty only
in three cases, representing 0.2% of the total
number of sentences handed down against the
legal person.
6. Conclusions
The criminal liability of the legal
person has become in the last century one of
the most debated issues in the field of law,
since the crimes committed through legal
persons have become more and more and the
increasing damage. The legal person - the
active subject of a crime - applies only the
principal and complementary punishments,
with the applicable punishment being applied
only to the individual.
The complementary punishment of
dissolution is the most severe punishment that
can be applied to a legal person because it
creates a real civil death, so most of the laws
that have regulated this measure consider it a
major punishment, only the new legislation in
the matter considering this civil death a
complementary punishment.
Due to social implications this measure
is rarely taken because it is considered that the
employees who have exercised their powers
have no fault that the offenses were committed
or the shareholders who were not aware of the

cunoştiinţă de infracţiunile comise. Legiuitorul
român a restrâns tocmai din aceste
considerente condiţiile în care se poate dispune
o asemenea pedeapsă, acestea fiind mai
restrictive decât cele ale răspunderii penale a
persoanei fizice.
Dizolvarea persoanei juridice nu poate
fi aplicată în cazul partidelor politice,
sindicatelor, patronatelor, organizaţiilor
religioase ori aparţinând minorităţilor, presei.
